How could the updated Financial Reporting Council (FRC) guidance reshape UK board remuneration strategy? As of 5th November, the FRC has updated its guidance on how UK boards can pay non-executive directors (NEDs). What has changed: | Boards can now pay part of NED fees in shares to support alignment with shareholders | Although performance-related pay is still prohibited, share options with a real exercise price may be allowed | Companies must explain their approach and any restrictions in annual reports This gives UK boards more flexibility on NED remuneration while maintaining expectations around independence and transparency. According to the European Commission’s latest 2025 Flash Eurobarometer on start-ups, scale-ups and entrepreneurship, growth sentiment across Europe’s Small and Medium Enterprises (SMEs) remains upbeat. Looking ahead, 67% of SMEs expect turnover to grow, and 46% plan to expand their teams - a strong sign of resilience through economic headwinds. The real standouts are start-ups: nearly one in five expects growth above 20% annually, reflecting the vibrancy and ambition driving Europe’s innovation ecosystem.
